Club Rules
Approved Sailing Club Annual Meeting 5 December 2013.
1 Name
1.1 Pursuant to clause 15.1(b) of the Constitution, the Young Men’s Christian Association of Canberra Ltd (YMCA of Canberra
) shall have a Club known as the YMCA of Canberra Sailing Club
(Sailing Club
).
2 Objects
2.1 The primary object of the Sailing Club shall be to provide a club for members of the Sailing Club to engage in competitive and non-competitive sailing and other aquatic recreation activities.
2.2 In pursuing the primary object, and without limitation, the Sailing Club shall:
- (a) cater for family groups; and
- (b) encourage the participation and training of young people in a manner consistent with the YMCA of Canberra Objects as set out in the Constitution.
3 Interpretation
3.1 Subject to Rule 3.2, all words in these Rules will have the same meaning and interpretation as those corresponding words used in the Constitution unless the context requires otherwise.
3.2 The following words shall have the corresponding meaning:
- (a)
Annual Meeting
means the annual general meeting of the Sailing Club; - (b)
Board
means the Board of the YMCA of Canberra; - (c)
Chief Executive Officer
means the Chief Executive Officer of the YMCA of Canberra; - (d)
Club Executive
means the executive members of the Sailing Club; - (e)
Constitution
means the constitution of the YMCA of Canberra as amended from time to time; - (f)
Rules
means these Rules as amended from time to time andRule
has a corresponding meaning; - (g)
YMCA of Canberra Objects
means the objects of YMCA of Canberra set out in Clause 4.2 of the Constitution.
4 Members
4.1 The members of the Sailing Club shall be all those natural persons with an interest in the objects of the Sailing Club and whose application for membership of the Sailing Club has been accepted by the Club Executive.
4.2 The Club Executive may create further sub-categories of membership for the benefit of its members.
4.3 Each member of the Sailing Club shall be an Associate Member of the YMCA of Canberra under the sub-category of Membership to be known as Sailing Club Associate Member
.
4.4 A member of the Sailing Club shall cease to be a member if he or she:
- (a) resigns by written notice given to the Chief Executive Officer;
- (b) fails to pay his or her membership fees, as determined by the Club Executive from time to time, within 28 days of such fees falling due; and
- (c) is the subject of a resolution to that effect passed unanimously by the Club Executive; or
- (d) ceases to be an Associate Member of the YMCA of Canberra.
5 Sailing Club Annual Meeting
5.1 The Sailing Club shall hold an Annual Meeting in the month of October each year (or as soon thereafter as an Annual Meeting can practically be held).
5.2 The business of the Annual Meeting shall be to:
- (a) elect the Club Executive; and
- (b) receive from the Club Executive reports on the activities of the Sailing Club during the last preceding financial year.
5.3 All Sailing Club members shall be entitled to attend, speak and vote at the Annual Meeting and general meetings of the Sailing Club unless a member has membership fees outstanding.
5.4 The Club Executive may call an extraordinary general meeting of the Sailing Club at any time.
5.5 The calling and conduct for the Annual Meeting and any extraordinary general meetings of the Sailing Club shall be similar to that required for General Meetings of YMCA of Canberra under the Constitution, except that the quorum for an annual meeting is 10 Sailing Club members.
6 The Club Executive
6.1 Subject to the Constitution and these Rules, the Sailing Club is governed, and the powers of the Sailing Club will be exercised by, a Club Executive to whom the Board delegates the control and management of the affairs of the Sailing Club under clause 12.9 and 15.2 of the Constitution.
6.2 The Club Executive will comprise:
- (a) a Commodore; and
- (b) up to eight Rear Commodores,
each of whom shall be elected at the Annual Meeting for a term commencing at the end of that meeting and ending at the conclusion of the subsequent Annual Meeting.
6.3 The Chief Executive Officer, or his or her nominee, shall be entitled to attend all meetings of the Club Executive in an ex-officio capacity.
6.4 Subject to anything else in these Rules, the procedures of the Club Executive shall, as far as is practicable, be similar to the procedures of the Board under the Constitution, save that:
- (a) the Club Executive shall meet in person at least quarterly;
- (b) a quorum for a meeting of the Club Executive shall be a majority of the members of the Club Executive; and
- (c) a decision of the Club Executive shall be made if supported by a majority of the members of the Club Executive supporting the motion subject to the Club President or chairperson of the meeting, as the case may be, having, in the event that the numbers for and against a motion are equal, the right to cast a second and casting vote.
7 Election of the Club Executive
7.1 The Club Executive shall determine, and put in writing to the Sailing Club members, fair and transparent processes for the election of the elected members of the Club Executive at Annual Meeting except that:
- (a) those processes should, as far as practicable, be similar to the processes for the election of the Board under the Constitution;
- (b) all Sailing Club members whose membership fees are not outstanding shall be entitled to vote at any election; and
- (c) With the exception of candidates for the position of Rear Commodore Youth, no person under 18 years of age shall be eligible for election to the Club Executive. Candidates for the position of Rear Commodore Youth must be at least 16 years of age (and should be no older than 24 years of age). Candidates for the position of Rear Commodore Youth under the age of 18 shall have parental/guardian consent.
7.2 Any vacancy arising in the Club Executive prior to an Annual Meeting may be filled by the Chief Executive Officer in consultation with the remaining members of the Club Executive until the conclusion of the next Annual Meeting.
8 Appointment of Volunteers
8.1 The Club Executive shall appoint such volunteer officers as it considers necessary for the proper management of the affairs and conduct of events of the Sailing Club.
9 Finance and Records
9.1 The Club Executive may determine from time to time the subscriptions and fees to be paid by Sailing Club Associate Members to the Sailing Club.
9.2 All monies received by the Sailing Club under Rule 9.1 shall be placed in one or more bank accounts in the name of the YMCA of Canberra and shall only be withdrawn in accordance with any written authorisations provided by the Chief Executive Officer.
9.3 The Club Executive must establish and maintain proper records concerning all transactions, business, meetings and dealings of the Sailing Club.
9.4 The funds of the Sailing Club shall only be applied each year in accordance with a budget for the Sailing Club approved by the Board.
10 Sub-rules
10.1 The Club Executive may from time to time and with the approval of the Chief Executive Officer create, and publish in writing given to its members, Sub-Rules relating to:
- (a) the conduct expected of Sailing Club Associate Members; and
- (b) competition procedures.
11 Relationship between Sailing Club and YMCA of Canberra
11.1 The Chief Executive Officer may disallow any decision of the Club Executive or the Sailing Club in Annual Meeting if the Chief Executive Officer considers taking such action is in the best interests of the YMCA of Canberra.
11.2 The Chief Executive Officer may issue such reasonable directions to the Club Executive as the Chief Executive Officer considers to being the best interests of the YMCA of Canberra.
11.3 Where a dispute arises over a decision of the Chief Executive Officer made under these Rules and the Constitution, the Club Executive may refer that dispute to the Board, which will hear and determine such appeal in accordance with any applicable By-Laws.
12 Amendments to Sailing Club Rules
12.1 These Rules may be amended by the Board at any time in accordance with the Constitution.
