BACKGROUND
Circa 2010, the juniors’ section separated from the seniors’ club, to form its own entity governed by its own constitution and committee. Despite the separation, the two clubs have continued to work and operate together as the one Hockey Victoria Affiliate(Powerhouse & St Kilda Hockey Club) in the interests of both clubs, its members and the sport of hockey.

This separation causes unnecessary additional stress on volunteers across the Affiliate given duplication of committee positions such as president, secretary and treasurer, and inherent inefficiencies in operating two separate clubs.

It is intended that special resolutions be put to members of each club that the junior club merge once back with the seniors club, and that the constitution of the seniors club be amended accordingly. It is proposed that this amalgamation take effect as at 1 November 2022, being the commencement of the next financial year for both clubs.

WHO CAN VOTE?

All current members of the Powerhouse & St Kilda Junior Hockey Club may vote if:

  • the annual subscription (Club membership fees) has been paid by the due date; and
  • 15 years of age or over at the time of voting.

For clarity, Associate members are those who are under the age of 15 years. Generally, parents/guardians of Junior members are not eligible to vote unless they hold a Non-Player Membership. However any eligible Junior members may appoint a parent/guardian as a proxy on their behalf. The appointment of a proxy must be in writing.

FOR SPECIAL RESOLUTION BY THE JUNIORS CLUB

As is provided for under clause 76(1) of the Powerhouse & St Kilda Junior Hockey Club constitution, that the Powerhouse & St Kilda Junior Hockey Club is wound up voluntarily, and merged into the Powerhouse & St Kilda Districts Hockey Club.

As is provided for under clauses 76(3) and 76(4) of the Powerhouse & St Kilda Junior Hockey Club constitution, that the surplus assets of the Powerhouse & St Kilda Junior Hockey Club are given to the Powerhouse & St Kilda Districts Hockey Club, a body that has similar purposes to the Powerhouse & St Kilda Junior Hockey Club and which is not carried on for the profit or gain of its individual members.

As is provided for under clause 6.4 of the Powerhouse & St Kilda Districts Hockey Club constitution, that as of the merger date, all existing members and associate members of the Powerhouse & St Kilda Junior Hockey Club automatically become members and associated members of the Powerhouse & St Kilda Districts Hockey Club with all rights as provided by the Powerhouse & St Kilda Districts Hockey Club constitution at the time.

That, subject to the outcomes of any due diligence undertaken, the merger take effect as at 1 November 2022, or at another suitable date as mutually agreed by both club committees.
